Terms of Service

1. Acceptance of Terms

By accessing or using Nvono ("the Service"), operated by Nvono Nigeria ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Nvono is a multi-tenant SaaS platform for Nigerian e-invoicing. The Service enables businesses to create, manage, and submit invoices, credit notes, debit notes, and bills to the FIRS MBS (Merchant Buyer Solution) system. We operate as a FIRS-accredited Access Point Provider (APP) and System Integrator (SI).

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate and complete information during registration and to keep your information up to date. You are responsible for all activities that occur under your account.

4. Subscriptions & Payment

Paid subscriptions are billed in advance on a monthly or yearly basis. Payments are processed through Flutterwave. You may cancel your subscription at any time; access continues until the end of the current billing period. Refunds are handled on a case-by-case basis.

5. Acceptable Use

You agree not to use the Service for any unlawful purpose, to submit fraudulent invoices, to attempt to gain unauthorized access to the Service, or to interfere with other users' use of the Service.

6. FIRS Compliance

While we facilitate e-invoice submission to FIRS, you remain responsible for the accuracy and completeness of your tax data. We do not provide tax advice. Consult a qualified tax professional for guidance on your specific obligations.

7. Limitation of Liability

To the maximum extent permitted by law, Nvono Nigeria shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

8. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated terms.

Privacy Policy

1. Information We Collect

We collect information you provide during registration (name, email, company name, TIN), invoice data you create through the Service, and usage data such as login times and feature usage. We also collect payment information through our payment processor, Flutterwave.

2. How We Use Your Information

We use your information to provide and improve the Service, process transactions, communicate with you about your account, submit invoices to FIRS on your behalf, and comply with legal obligations.

3. Data Security

We implement industry-standard security measures including AES-256-GCM encryption for sensitive credentials, JWT authentication, HTTPS encryption in transit, and complete data isolation between tenants. FIRS credentials are encrypted at rest.

4. Data Sharing

We share your invoice data with FIRS as part of the e-invoicing submission process. We use Flutterwave to process payments. We do not sell your personal data to third parties. We may disclose information when required by law.

5. Data Retention

We retain your account data for as long as your account is active. Invoice data is retained for the period required by Nigerian tax law. You may request deletion of your account and personal data by contacting support.

6. Your Rights

You have the right to access, correct, or delete your personal data. You may export your invoice data at any time. To exercise these rights, contact us at support@nvono.ng.
